Welcome to Palumbo Eggs. These Terms & Conditions (the “Terms”) govern your use of the website palumboeggs.org (the “Site”) and any order you place with Palumbo Eggs (“we,” “us,” or “our”). Please read them carefully. By visiting this Site, submitting an order, or otherwise purchasing eggs from us, you agree to be bound by these Terms in full. If you do not agree with any part of these Terms, do not use the Site and do not place an order.

1. About Palumbo Eggs

Palumbo Eggs is a small, family-run farm operation located in Elizaville, New York. We sell fresh eggs to local customers on a best-effort, availability-based basis. We are not a wholesaler, distributor, or commercial food-service supplier. Orders are fulfilled by hand by our household.

2. Orders and Availability

All orders are subject to availability. Because our eggs come from a limited number of hens, our daily supply varies based on season, weather, flock health, and other natural factors outside our control. Submitting an order does not guarantee fulfillment.

• An order is considered a request until we confirm it with you directly.
• We reserve the right to adjust quantities, suggest alternate pickup or delivery dates, or partially fulfill an order based on what is available.
• We do not maintain a guaranteed stock level and we do not provide backorders.

3. Right to Cancel or Refuse Orders

We reserve the right, in our sole discretion, to cancel or refuse any order at any time, for any reason or for no reason at all, without liability to you. Reasons we may cancel or refuse an order include, but are not limited to:

• Insufficient egg supply;
• Suspected fraud, abuse, or misuse of the order form;
• Requests we believe are not in good faith;
• A pattern of missed pickups or no-shows;
• Typographical or pricing errors on the Site;
• Any reason we determine, in our sole judgment, makes fulfilling the order impractical, unsafe, or inappropriate.

If we cancel an order that has already been paid for, any payment received will be returned; this is the sole remedy available to you in the event of a cancellation.

4. Pricing and Price Changes

All prices are subject to change at any time, without prior notice. The price displayed at the time you submit an order is the price we will attempt to honor; however, in the event of a pricing error, typographical mistake, or unforeseen change in our costs, we reserve the right to:

• Correct the price before fulfilling the order;
• Contact you to confirm whether you still wish to proceed at the corrected price; or
• Cancel the order entirely.

Prices do not include any applicable taxes, delivery fees, or other charges, unless expressly stated.

5. All Sales Are Final — No Refunds, No Exchanges

Because eggs are a perishable food product, we cannot accept returns under any circumstances. By placing an order, you acknowledge and accept that:

• You will not be entitled to a refund if you change your mind;
• You will not be entitled to a refund or replacement if eggs are damaged, spoiled, or broken after leaving our possession;
• You will not be entitled to a refund if you do not pick up your order or are unavailable at the arranged pickup or delivery time;
• You will not be entitled to a refund based on taste, appearance, shell color, yolk color, or other characteristics that naturally vary from farm-fresh eggs.

6. Payment

Payment terms will be confirmed at the time your order is accepted. You agree to pay the full amount due in the form we accept. We are not responsible for any bank fees, service charges, or transaction fees your payment provider may impose.

7. Pickup, Delivery, and Delays

Pickup or delivery times are estimates only and are not guaranteed. We are a small household operation and schedules may change based on weather, personal circumstances, road conditions, vehicle availability, and the realities of farm life.

We are not responsible for any delays, missed pickups, or late deliveries, regardless of cause. In particular, we are not liable for delays caused by:

• Weather conditions, snow, ice, storms, or flooding;
• Power, internet, phone, or vehicle outages;
• Illness, injury, or personal emergencies;
• Road closures, traffic, or construction;
• Acts of God, natural disasters, or any event outside our reasonable control (often called “force majeure”);
• Any action or inaction by a third party.

If you do not pick up your order at the agreed time, we may dispose of the eggs without liability to you, and no refund or replacement will be owed.

8. Use of the Website

You agree to use palumboeggs.org only for lawful purposes. You agree not to:

• Submit false, misleading, or fraudulent information through the order form;
• Attempt to interfere with, probe, or disrupt the Site or its underlying infrastructure;
• Use the Site in any way that violates applicable law or the rights of others;
• Scrape, harvest, or automate submissions against the Site.

We reserve the right to block access, ignore submissions, or take any other appropriate action if we believe these Terms are being violated.

9. Intellectual Property

All content on this Site — including text, graphics, photographs, logos, the “Palumbo Eggs” name, and page layout — is owned by or licensed to Palumbo Eggs. You may view and share the Site for personal, non-commercial purposes, but you may not copy, reproduce, redistribute, or use any content for commercial purposes without our prior written consent.

10. Disclaimer of Warranties

The Site and all products sold through it are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied, to the fullest extent permitted by law. We specifically disclaim the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, nor that product information, descriptions, or pricing are always complete, accurate, or current. 11. Limitation of Liability

To the fullest extent permitted by law, in no event shall Palumbo Eggs, its owners, family members, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for lost profits, lost data, personal injury, illness, emotional distress, or business interruption, arising out of or related to the Site, any order, or any product supplied by us, even if advised of the possibility of such damages.

To the extent any liability cannot be excluded under applicable law, our total aggregate liability to you for any and all claims arising out of or relating to the Site or any order shall not exceed the amount you paid, if any, for the specific order giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Palumbo Eggs and its owners, family members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Site, your orders, your violation of these Terms, or your violation of any rights of another.

13. Governing Law and Venue

These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, any order, or any product supplied by Palumbo Eggs, shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. You agree that the exclusive venue and jurisdiction for any legal action shall be the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified only to the minimum extent necessary to make it enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Palumbo Eggs with respect to the Site and any orders placed through it, and supersede any prior understandings or agreements, whether oral or written.

We may update these Terms at any time, at our sole discretion and without prior notice. The current version will always be posted on this page with an updated “Effective Date.” Your continued use of the Site or the placement of any new order after changes are posted constitutes your acceptance of the updated Terms.

By placing an order with Palumbo Eggs, you acknowledge that you have read, understood, and agreed to these Terms & Conditions, our Privacy Policy, and our Disclaimer in their entirety.
